How to File a Commercial Suit for Unpaid Business Invoices & Across India

Learn how to file a commercial suit for unpaid business invoices in India, including jurisdiction, limitation, mediation, documents and MSME remedies.

How to File a Commercial Suit for Unpaid Business Invoices

Rarely does an unpaid invoice remain an accounting issue for very long. A supplier ships goods, a consultant turns in the assignment, or a contractor completes the work stipulated in an agreement. The purchaser then requests more time, disputes the amount with no explanation or stops responding altogether. Salaries, gst liabilities and vendor payments need to be met.

An unpaid business invoices commercial suit is a civil recovery proceeding to claim dues from your business that arise out of commercial transactions. Depending upon the value of the claim, contract and documents involved and relief sought the dispute could end up being in front of the Commercial Court, a regular civil court, an arbitral tribunal or the MSME Facilitation Council.

Business owners wait too long to act because they don’t want to upset the customer. In my experience, waiting often allows the buyer to manufacture disputes later on about quality, delivery, pricing or reconciliation. What seemed like an admitted invoice turns into a contentious commercial account.

Prior to filing, the claimant needs to figure out the appropriate forum, calculate the amount due and preserve evidence. Jurisdiction will depend on where the defendant “conducts business”, where the contract was performed, where payment was due and whether there is an arbitration clause or agreement for exclusive jurisdiction.

Limitation shouldn’t be assessed at the end of unsuccessful negotiations. BK Singh Advocate suggests that businesses assess this at the outset. Claims for recovery are subject to a three-year period of limitation from when the cause of action accrues, which will be different depending on the underlying contract and cause of action. A valid written acknowledgment or part-payment can impact limitation, but never assume your text messages automatically extend this period.

MSME Lawyers team analyzes your invoices, purchase orders, account statements and communication from the buyer to determine the best legal course of action. Filing a case is just one step in recovering your dues. We aim to send you commercially coherent claims supported by documents that will be admissible in evidence.

Why Do Unpaid Business Invoices Matter Across India in 2026?

Unpaid invoices tie up working capital and can frustrate an otherwise healthy business. They can wreak havoc on startups, manufacturers, professionals and service providers, traders and micro or small businesses operating on thin cash- flow margins.

Businesses located in Delhi NCR, Mumbai, Bengaluru, Pune, Hyderabad, Chennai, Kolkata and other business hubs often conduct transactions across state lines. They may send goods from Ghaziabad, receive acceptance in Gurugram and send the invoice to the registered office located in Mumbai. These types of transactions can give rise to legitimate territorial jurisdictional issues.

Late claims can pose practical problems as well. Your employee still need to get paid, lenders need instalments and the government needs taxes. The supplier might be paying GST on invoices where the consideration has yet to be realised.

As BK Singh Advocate says "Business owners should not rely on oral promises like “I will clear your payment next week.” They can help you maintain a relationship in the short term, but they are not a substitute for a concrete writing. When the buyer starts challenging your performance or claiming non-receipt, documentation will become king."

The commercial recovery process also requires adherence to stricter procedural rules than many simple civil matters. Pleadings, discovery and proof of documents demand precision. Businesses should evaluate their position before documents disappear.

Quick Facts About Commercial Invoice Recovery

  • A dispute arising out of ordinary commercial transactions between merchants, traders, bankers or financiers could constitute a commercial dispute for the purposes of the Commercial Courts Act, 2015.
  • Broadly speaking, Commercial Courts try qualifying commercial disputes which exceed the specified-value threshold and meet jurisdictional requirements.
  • Section 12A mandates mediation before filing unless a commercial suit inherently seeks urgent interim relief.
  • The amended Order 11 of the Code of Civil Procedure contains detailed disclosure provisions applicable to commercial disputes.
  • Order 13- A provides for summary judgment in a fitting commercial dispute if the legal requirements are met.
  • Not every unpaid invoice is eligible for Order 37] summary procedure. It is available only for certain types of documentary monetary claims.
  • Separate remedy for delayed payment to micro and small enterprises is also available under Sections 15 to 18 of MSMED Act, 2006.

Which Documents Support an Unpaid Invoice Claim?

Enterprises must retain both official records and routine correspondence created during the course of deal.

Key Deal Documents

  • Agreement, framework contract or executed estimate
  • Purchase orders, job orders and variants
  • Invoice and tax invoice
  • Delivery challan, carrier receipt and e-way bill
  • Performance certificates, service logs or takeovers
  • Goods- receipt notes and quality certificates

Financial and Account Documents

  • Party’s ledger and account summary
  • Bank statements with previous payments
  • GST returns and backup tax documents
  • Credit/debit notes and settlement sheets
  • Interest based on agreement or statutory law

Correspondence and Admission

  • Email chains regarding delivery and payment
  • Messages with promise to pay
  • Acknowledgment of balance or liability
  • Response to reminders and legal notices
  • Grievances regarding quality, quantity or delays

Digital Evidence should be collected in proper format. Screenshots which do not have the conversation history, contact details or original documents are prone to objections. Changing phone or deleting email IDs and lost chat histories can destroy an otherwise legitimate demand.

BK Singh Advocate also reviews the records to see if there is any counter claim, set-off agreement or dispute on performance. Client should show documents which are not in your favour early to a lawyer; they are far more harmful when presented after filing.

How Is the Correct Court or Forum Selected?

Forum is not determined merely by the place of office of the Claimant. The Contract, place of performance, place where amount was payable, place of business of defendant, Arbitration clause (if any) and amount in controversy are some of the factors which influence forum determination.

Assume that you are a supplier located in Delhi. You cannot claim that every recovery suit should be filed in Delhi only because you sent the invoice from Delhi. If the contract specifies a valid court in another city as the proper Court to bring the suit; or, substantial cause of action took place in terms of performance elsewhere, the suit would be objectionable on jurisdictional grounds.

If the claim qualifies as a commercial dispute, Commercial Courts of appropriate territorial and pecuniary jurisdiction can entertain the claim. If the claim is below the commercial Courts’ jurisdictional limit, the claim can be adjudicated in the normal hierarchy of civil-court.

Proceedings under MSEFC may be initiated if the party is a eligible Micro or Small enterprise. The presence of an Arbitration clause may allow for the reference of the dispute to the Arbitral Tribunal.

At MSME Lawyers, we do not treat every unpaid invoice as identical. What may be the right solution for your friend’s sole proprietorship may not be appropriate for your registered micro enterprise or that big supplier company you have been eyeing.

What Mistakes Commonly Weaken Invoice-Recovery Cases?

Delay is the first error. Clients run informal collections for years, then consult a lawyer when limitation is looming.

Unclean books is another issue. The invoice total, the ledger balance, the legal notice and the plaint should narrate the same financial story. Random credit notes or payments can discredit your claimed amount.

Emotional communication can also sabotage a recovery. Businesses send furious messages or threaten criminal proceedings for what is essentially a contractual dispute about payment. Commercial pressure should be legal and proportionate. Simply because a civil agreement has been breached, does not make non-payment Cheating.

Lastly, inadequate document retention causes headaches. Delivery boys move on, email ids get deleted and original transportation receipts are lost. The buyer might even deny possession or authorization at a later date.

BK Singh Advocate has encountered equally damaging errors with clients approaching a forum simply because they did not read the arbitration clause. Enthusiasm for procedures cannot correct a jurisdiction error.

When Should a Business Consult a Commercial Recovery Lawyer?

When:

  • The invoice is significantly overdue as per the contract term
  • The buyer is non-responsive or keeps postponing the payment date
  • Quality/Delivery disputes only surface after the payment is due
  • Statute of limitation is looming
  • The buyer is selling assets/offloading business/settling for other dues
  • Ambiguity due to arbitration clause/exclusive jurisdiction clause
  • Applicability of MSMED Act protection for the supplier
  • Need for mediation prior to institution or pressing need for interim relief

legal advice may be helpful.

Taking legal advice at the onset, does not necessarily entail filing a lawsuit. You may want to understand the amount you can legally claim, what evidence you may be currently lacking and how to talk to the buyer without making damaging statements.

If your business suffers from serial defaults, it may be worthwhile to have an MSME delayed-payment recovery attorney review your processes. BK Singh Advocate can help you analyze if negotiation, notice, MSEFC reference, arbitration or lawsuit is the right course of action based on facts.

How Can MSME Lawyers Help Recover Unpaid Business Invoices?

MSME Lawyers represent suppliers, service providers, manufacturers, contractors and expanding businesses with commercial payment issues throughout India. Advocacy starts with the contract and available evidence, not presumptions about the buyer.

We can evaluate invoice enforceability, quantify what is due, review jurisdiction and pinpoint limitation issues. We can also determine if the supplier is eligible to receive MSMED Act reliefs or if arbitration clauses in the contract alter the path to recovery.

If the supplier is an ordinary vendor the firm’s vendor payment recovery service can guide you through the documentation, demand letters and appropriate legal action. All options are evaluated with attention to cost, timing, enforceability and impact on the commercial relationship.

BK Singh Advocate can advise at the highest level on mediation prior to institution of proceedings, pleadings, disclosure, hearings and potential pitfalls with execution. No responsible attorney can guarantee that simply by filing a suit, one will be paid. Recovery is based on the evidence, legal defences available to the buyer, the Court’s findings and the debtor’s ability to pay.

When settlement is advised and remains commercially viable, MSME Lawyers can ensure recovery is agreed on clear terms including payment dates, instalments (if any), treatment of interest and consequences of future default. A handshake should not supplant a written agreement that can be enforced.

Frequently Asked Questions

1. Can you file a commercial suit on unpaid business invoices?

Ans. A commercial suit for unpaid invoices is a civil suit for recovery of money resulting from a commercial transaction. The plaintiff will need to prove the contract, delivery or performance, payment terms and default. The proper forum will depend on various factors including value, jurisdiction, MSME status and dispute resolution clauses agreed (if any).

2. Can I win recovery lawsuit just by sending invoice?

Ans. An invoice would be one important piece of evidence, but courts will look at the purchase order, delivery note / acceptance, correspondence and account records as well. Ideally, your documentary evidence should be linked together and support the claim rather than simply relying on the invoice alone.

3. Do I have to send a legal notice before filing commercial suit?

Ans. Sometimes yes. A contract or statutory notice may be necessary to comply with pre-conditions to suit. Separately, where a notice is not strictly required, Section 12A mediation pre-institution is applicable to some commercial suits that do not seek urgent interim relief. Legal notice requirements should be evaluated based on the facts of the transaction.

4. What is the limitation period for invoices?

Ans. Claims for recovery of money are subject to a limitation period of 3 years from when the cause of action arises. When multiple transactions / invoices are involved, the cause of action may not always be obvious. Also, if there is a valid acknowledgment or partial payment, the limitation may be affected. Businesses should take advice rather than calculating limitation periods at risk.

5. Can suit for money recovery on unpaid invoices be filed under Order 37?

Ans. It can, if the requisite conditions are fulfilled. Order 37 Summary Suits apply to specific types of claims and require an unconditional written contract. Not every invoice claim will fall within Order 37. BK Singh Advocate can review the documents to determine whether filing a summary suit is possible.

6. Does Section 12A mediation apply to all commercial suits?

Ans. Section 12A applies to suits filed in High Courts which do not contain a request for urgent interim relief. Additionally, the suit must be a “commercial dispute” as defined in Section 12A and meet the specified minimum value. Each application will turn on the particular facts to assess urgent relief and commercial dispute.

7. Can MSME file complaint under MSEFC instead of Commercial Courts?

Ans. Micro and small enterprises have a potential remedy under Section 18 of MSMED Act. However, the enterprise must qualify as a micro or small enterprise, be registered and the transactions / dispute must fall within the scope of the MSMED Act. Filing parallel proceedings can be risky if the suit and MSEFC Complaint are maintainable together.

8. Can we recover interest as provided in the contract on unpaid invoices?

Ans. Subject to the contract, trade practice and prevailing law, you can claim interest as per your agreement. Courts may review the contractual interest rate and facts. If the business is eligible for relief under MSMED Act, MSME claims can invoke the statutory interest rates.

9. Can WhatsApp messages be used to show that the buyer admitted the debt?

Ans. Yes. WhatsApp conversations can become evidence, if they help prove the facts in issue. Messages that refer explicitly to the subject transaction and amount due would likely be relevant. MSME Lawyers recommends clients capture electronic evidence correctly. Clients should be discouraged from presenting screenshots only.

10. How do I collect business if I get a decree for money payment?

Ans. If the debtor does not pay the decree voluntarily, the decree-holder may have to take execution proceedings under the Code of Civil Procedure. Execution measures are subject to various conditions and depend on what assets can be targeted. A money decree confirms the liability, but collection can still present challenges.

Final Thoughts

Claims based on unpaid invoices by businesses should be evidenced, properly instituted in the correct forum and assessed realistically. Delay can cause statute of limitations issues, loss of documents and fabricated defences.

Contracts, proof of delivery, account records and any written admissions should be preserved by businesses once there is a serious default. The correct forum should then be considered, taking into account Section 12A mediation, any arbitration clause or MSMED Act coverage.

BK Singh Advocate and MSME law firms help businesses assess claims on unpaid invoices, send demand notices, participate in mediation, initiate commercial litigation and take on MSME delayed payments from clients located in Delhi NCR and other commercial hubs.
